WEBSITE TERMS & CONDITIONS OF USE

These Terms and Conditions of Use (“Terms”) are entered into by and between IBC Solutions (“IBC,” “we,” “us,” or “our”) and you (“you,” “your,” or “user”).

These Terms, together with our Privacy Policy, Cookie Policy, Disclaimer, and any other documents expressly incorporated by reference (collectively, the “Agreement”), govern your access to and use of the website operated by IBC (the “Website”), including all content, materials, tools, products, services, and resources available on or through the Website, whether as a guest or registered user.

By accessing or using the Website, you confirm that you’ve read, understood, and agree to be bound by these Terms. If you do not agree, do not use the Website.

 
1) PRIVACY POLICY & COOKIE POLICY
Your use of the Website is subject to our Privacy Policy (which includes POPIA/GDPR notices) and Cookie Policy, which explain how we collect, use, share, and safeguard information and your choices. By using the Website, you consent to those policies (incorporated by reference).

 
2) DISCLAIMER
Your use of the Website is also subject to our Disclaimer (incorporated by reference). It contains important limitations regarding information and tools provided on or through the Website and clarifies the scope of IBC’s services (business consulting, recruitment, and funding access facilitation).

 
3) ELIGIBILITY & GENERAL USE
You must be 18+ and have legal capacity to enter a binding agreement. Children under 18 may not use the Website.
Information on the Website may change without notice. We do not guarantee that any information is accurate, complete, current, or error-free.
We may withdraw, modify, suspend, or discontinue the Website (or any portion) without notice and without liability.
 
4) SCOPE OF SERVICES (CLIENT-SPECIFIC)
IBC provides: Business consulting & operational improvement
Recruitment & headhunting
Funding access facilitation (introductions to capital partners and support through investor readiness).
We grant you a limited, non-exclusive, non-transferable right to access and use services made available via the Website for legitimate business purposes and in accordance with these Terms. Unauthorised use may give rise to civil and/or criminal liability under South African law.

Important: Unless expressly stated in writing by an authorised representative, IBC does not provide regulated financial advice, does not act as a financial services provider, and is not a party to any financing agreements between you and third-party funders. Any recruitment engagement is between the hiring company and the candidate.
 
5) LAWFUL PURPOSES & PROHIBITED CONDUCT
You agree to use the Website lawfully and not to:

Violate any laws (including IP, privacy, export control, and anti-spam laws).
Post/upload content that is unlawful, defamatory, harassing, hateful, obscene, invasive, infringing, fraudulent, deceptive, or otherwise objectionable.
Interfere with Website operation or introduce malware/viruses/logic bombs.
Scrape, spider, crawl, harvest data, or bypass access controls.
Attempt unauthorised access to accounts, systems, or networks.
You’re financially responsible for all purchases made by you or someone acting on your behalf and agree to purchase only for legitimate purposes (unless otherwise authorised).

 
6) ACCOUNTS, REGISTRATION & SECURITY
You may need an account to access certain features. Provide accurate, current information and keep it updated. You are responsible for safeguarding your login credentials and all activity under your account. Notify us immediately of any unauthorised use. We may suspend or terminate accounts at our discretion.

 
7) PURCHASES, SUBSCRIPTIONS & BILLING (IF APPLICABLE)
Pricing & Taxes. Prices will indicate whether they include applicable taxes; you’re responsible for any taxes not collected by us.
Payment. You authorise us/our payment processors to charge your selected payment method and warrant you’re authorised to use it.
Subscriptions. If offered, subscriptions may auto-renew unless cancelled in your account before renewal.
Cancellations/Refunds. As set out at point of sale or in supplemental policies. To the extent permitted by law, digital products/downloads/time-based services may be non-refundable once delivered or commenced.
Chargebacks. Initiating a chargeback without first contacting us to resolve the issue may breach these Terms.
Consumer Protection. Where applicable, rights under the Consumer Protection Act, 2008 (CPA) and Electronic Communications and Transactions Act, 2002 (ECTA) are preserved. Any mandated cooling-off periods will be honoured to the extent applicable.
 
8) DIGITAL PRODUCTS, LICENSES & GATED CONTENT
Where we provide downloadable or “gated” resources in exchange for contact details, we grant you a limited, personal, non-exclusive, non-transferable, revocable licence to use such materials for your internal business use only.
Unless expressly permitted in writing, you may not modify, copy, reproduce, create derivative works, reverse engineer, sell, sub-licence, or redistribute materials, nor create competing products/services using or derived from our content. All rights not expressly granted are reserved.

 
9) USER CONTENT & SUBMISSIONS
If you submit content/feedback/data (“Submissions”):

You grant IBC a worldwide, non-exclusive, irrevocable, royalty-free licence to use, copy, host, store, reproduce, distribute, display, publish, adapt, and create derivative works from your Submissions for business, product-improvement, and marketing purposes, including the right to use your name where appropriate.
You retain ownership subject to the licence above.
You warrant you have necessary rights; your Submissions do not infringe third-party rights; and they comply with law and these Terms.
You agree to indemnify us for claims arising from your Submissions.
We may (but are not obligated to) monitor, review, or remove Submissions at our discretion. Unsolicited ideas are deemed non-confidential and may be used without compensation.
 
10) OUR INTELLECTUAL PROPERTY
The Website and all content (text, graphics, logos, images, software, code, layouts, look-and-feel, and compilations) are owned by IBC and/or our licensors and protected by South African and international IP laws.
All trademarks and logos are the property of their respective owners. No rights are granted except as expressly stated. Unauthorised use may result in termination and legal action.

 
11) THIRD-PARTY LINKS, TOOLS & SERVICES
The Website may link to third-party sites/tools/platforms (e.g., scheduling, payment, analytics). We do not control or endorse them and are not responsible for their content or policies. Your use is at your own risk and subject to those third parties’ terms. Guest content and interviews are not independently verified.

 
12) AVAILABILITY, MAINTENANCE & CHANGES
Access may be interrupted for maintenance, upgrades, or network failures. We do not warrant error-free, uninterrupted, or defect-free operation and may change or discontinue features at any time.

 
13) SECURITY, MALICIOUS CODE & YOUR RESPONSIBILITIES
We take reasonable steps to safeguard the Website but do not warrant it is free from vulnerabilities or malicious code. Implement your own security measures (anti-virus, firewalls, backups). We are not liable for losses caused by cyberattacks or harmful material transmitted via the Website.

 
14) DATA PROTECTION (POPIA/GDPR SUMMARY)
We process personal information in accordance with applicable data protection laws, including POPIA and, where applicable, the EU/UK GDPR. Legal bases, purposes, retention, cross-border transfers, data subject rights, and Information Officer details are described in our Privacy Policy. By using the Website, you acknowledge such processing and may exercise your rights as provided therein.

Recruitment Note: Candidate data (CVs, references, checks) is processed strictly for recruitment purposes in line with POPIA and our Privacy Policy. We are an equal-opportunity service provider and support fair hiring practices under South African labour laws.
 
15) ELECTRONIC COMMUNICATIONS & RECORDS
By visiting the Website or contacting us, you consent to receiving communications electronically (email, on-site notices). Records maintained electronically satisfy legal “in-writing” requirements under ECTA.

 
16) GEO-RESTRICTIONS & INTERNATIONAL USE
We operate primarily from South Africa. If you access the Website from outside South Africa, you are responsible for compliance with local laws (including export controls and data protection).

 
17) TESTIMONIALS, ENDORSEMENTS & AFFILIATES (IF APPLICABLE)
Testimonials reflect individual experiences and do not guarantee results. We may receive compensation from partners for referrals or affiliate links, disclosed where applicable and further detailed in our Disclaimer/Policies.

 
18) PROFESSIONAL WARRANTIES & DISCLAIMERS
To the maximum extent permitted by law, the Website and all content/resources/services are provided “as is” and “as available.” We disclaim all warranties (express, implied, statutory), including merchantability, fitness for purpose, title, non-infringement, accuracy, and availability.
Consulting: outcomes may vary and depend on many external factors.
Recruitment: we cannot guarantee candidate acceptance, performance, or retention.
Funding Access: we cannot guarantee any funding outcome, terms, or timing; approvals are at third-party funders’ sole discretion.

 
19) LIMITATION OF LIABILITY
To the fullest extent permitted by law, IBC (and directors, officers, employees, contractors, agents, suppliers, and licensors) shall not be liable for any indirect, incidental, consequential, special, exemplary, punitive, or enhanced damages (including loss of profits, revenue, business, goodwill, data, or anticipated savings) arising from or relating to your use of or inability to use the Website or any content/services.
If liability is found, our aggregate liability shall not exceed the total amount paid by you to IBC for the product/service giving rise to the claim during the 12 months preceding the event. Some jurisdictions do not allow certain limitations; where prohibited, we limit liability to the maximum extent permitted by law.

 
20) INDEMNIFICATION
You agree to indemnify, defend, and hold harmless IBC and its officers, directors, employees, contractors, agents, licensors, suppliers, and affiliates against all claims, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising from: (a) your breach of these Terms; (b) your use of the Website; (c) your Submissions; (d) your violation of law or third-party rights; or (e) misuse of any IBC content or services. We may assume exclusive defence/control of any matter; you will cooperate fully and not settle without our prior written consent.

 
21) SUSPENSION & TERMINATION
We may suspend or terminate access (in whole or part) at any time with or without notice, including where we reasonably believe you have breached these Terms or law. Upon termination, licences cease immediately and you must stop using the Website. Provisions intended to survive (IP, licences, disclaimers, limitations, indemnities, governing law/disputes) survive termination.

 
22) MODIFICATIONS TO TERMS
We may revise these Terms by posting an updated version with a new “Last updated” date. Changes take effect immediately upon posting and apply to all subsequent use. Continued use constitutes acceptance.

 
23) FORCE MAJEURE
We are not liable for delays/failures caused by events beyond our reasonable control (acts of God, disaster, epidemic, war, civil unrest, terrorism, labour disputes, utility failures, or governmental actions).

 
24) NOTICE & TAKEDOWN / IP COMPLAINTS
To report alleged IP infringement, email our contact below with: (i) identification of the copyrighted work/mark; (ii) the allegedly infringing material (URL/description); (iii) contact details; and (iv) a good-faith statement of ownership/authorisation. We may remove or disable access and take appropriate action at our discretion.

 
25) GOVERNING LAW, JURISDICTION & DISPUTE RESOLUTION
These Terms are governed by the laws of the Republic of South Africa.
The parties will first attempt to resolve disputes via good-faith mediation in South Africa. Failing amicable resolution, the parties submit to the exclusive jurisdiction of the South African courts. You waive any objection to venue or forum (including inconvenient forum).

 
26) INTERNATIONAL TRADE CONTROLS & SANCTIONS
You represent you are not located in or a national/resident of any country subject to comprehensive sanctions/embargoes and will not use the Website in violation of export, re-export, or sanctions laws.

 
27) SEVERABILITY, WAIVER & ASSIGNMENT
If any provision is held unlawful/invalid/unenforceable, it will be limited to the minimum extent necessary and the remainder will continue in effect. No waiver is a continuing waiver. You may not assign these Terms without our prior written consent; we may assign freely.

 
28) RELATIONSHIP OF THE PARTIES
Nothing creates a partnership, joint venture, employment, or agency relationship between you and IBC. You may not bind us in any way.

 
29) ENTIRE AGREEMENT
These Terms, together with our Privacy Policy, Cookie Policy, Disclaimer, and any policies/guidelines posted on the Website, constitute the entire agreement between you and IBC regarding the Website and supersede prior communications.
